Shares from capital, the number every clause reads

Ownership in most operating agreements follows contribution: $50,000 of $100,000 is 50%. The worksheet takes each member's capital and returns each share, so the ownership schedule is worked from the contribution schedule rather than typed in beside it. Members can agree a different split; the agreement records whichever they chose.

Distributions by share, on the profit you enter

Profit by share is the distribution each member is owed under a by-ownership split: $60,000 of $120,000 to the 50% member. The worksheet shows the first member's figure and the shares from which the others follow; whether distributions are made, and when, is the members' decision under the agreement.

A major decision as the capital that must say yes

A major-decision clause names a share of ownership, and the worksheet turns it into capital: 67% of $100,000 is $67,000 that must vote yes, which with shares of 50, 30 and 20 means two particular members. The threshold is yours; the worksheet publishes no rule about what it should be.

How is ownership percentage calculated in an LLC?

In a by-contribution agreement, each member's capital divided by the total capital: $30,000 of $100,000 is 30%. Members can agree another split, and property or services may count as contributions at an agreed value; the agreement says which. The worksheet works the by-capital figure and decides nothing about the split.

What should a major decision threshold be?

Whatever the members agree: the worked example uses 67% to show the arithmetic and nothing more. A threshold that no combination of current members can reach, or that one member reaches alone, is the thing to check before signing, and the worksheet shows the capital it takes so you can read who that is.
