This is an operating agreement worksheet for a two-member company, aimed at the Georgia LLC owner who searched for one and usable in any state, because it works the arithmetic and asserts no state's rule. Each member's capital over the total is their share; the year's profit less the reserve the company keeps is the distributable profit; and that profit by share is each member's distribution. Every figure is yours; the worksheet publishes no clause text and no Georgia fee or rule. Free, on the page, no account; the paid plan saves every worksheet against the company and the agreement.

Two members' capital, two shares

$60,000 and $40,000 of capital is 60% and 40% of the company, and the worksheet returns both so the ownership schedule agrees with the contribution schedule it was worked from. Members can agree a different split; the agreement records whichever they chose, and the worksheet decides nothing about it.

The reserve first, then the distributable profit

Most agreements let the company keep a reserve before distributing, for tax, working capital or the next quarter's payroll. The worksheet takes your reserve as a share of profit and shows what is left: $90,000 less 10% is $81,000 to distribute. The share is yours; the worksheet publishes no rule.

Each member's distribution, by share

Distributable profit by share is each member's distribution: $48,600 and $32,400 on the worked example. Shown separately, the two figures are the distribution schedule the agreement's profit clause produces, and the paid plan keeps every year's schedule against the company.

Operating agreement for LLC Georgia: common questions

Is this a free Georgia LLC operating agreement?

It is a free worksheet, not an agreement: enter two members' capital, the profit and your reserve, and it works the shares, the distributable profit and each member's distribution on the page with no account and no card. It carries no clause text and asserts nothing about Georgia's law or fees. LLC Lane Pro saves every worksheet against the company.

Does Georgia require an LLC operating agreement?

Whether Georgia requires one, and what it must contain, is a question for the Georgia statute and your attorney; this site does not answer it. What any two-member company needs regardless is the shares and the distributions written as numbers that agree, which is what this worksheet works.

How much should the reserve be?

Your own figure, agreed by the members: the worked example uses 10% to show the arithmetic and nothing more. A reserve is usually sized to the tax the members will owe on the profit and the working capital the next period needs, and your accountant is the authority on both.
