An operating agreement for a Florida LLC is searched for by the owner who has just formed the company and wants the document that says how it is owned and run. Two things are true at once: the clauses are the attorney's and this site does not write them, and the numbers in the clauses are the members' and the members get them wrong. Four partners who put in different amounts, a profit split that was agreed at a kitchen table, a vote threshold nobody turned into a count: the agreement is only as good as the arithmetic in its schedules. This guide is about that arithmetic for a Florida LLC with several members, and what each clause decides; the free multi member operating agreement template worksheet on this site works four members' shares, distributions and the vote with no account and no Florida rule asserted.

The members and their capital, per member and dated
A multi-member agreement starts from the contribution schedule: each member, what they put in, at what agreed value, and when. The worksheet takes four members' capital and returns each share; the schedule it produces is what the ownership clause records, and it is the number every later clause reads. Whether property or services count as capital in your agreement is your attorney's clause to write.
Profit, loss and distributions by share
Most agreements split profit and loss by ownership and distribute what is left after a reserve; some split differently by agreement. The worksheet distributes by share so the schedule is worked rather than remembered: $48,000 to a 40% member on $120,000 of profit. If your members agreed a different split, the agreement says so, and the worksheet shows what the by-share split would have been for comparison.
Votes, and what an ordinary decision needs
An agreement names what an ordinary decision needs and what a major one needs, as a share of ownership. The worksheet turns the ordinary threshold into capital that must vote yes, so a 51% rule on $100,000 of capital is $51,000 of it and the members it takes are readable from the shares. The paid plan keeps the members, their shares and every vote-carrying amendment against the company.
Operating agreement LLC Florida: common questions
Does a Florida LLC need an operating agreement?
Whether your state requires one, and what it must contain, is a question for Florida's statute and your attorney; this site does not answer it and asserts no Florida rule. What every multi-member company needs regardless is the arithmetic in the agreement's schedules to be right, and that is what the worksheet on this site works.
How are ownership percentages set in a multi-member LLC?
Usually from the capital each member contributed, as a share of the total; the worked example turns $40,000 of $100,000 into 40%. Members can agree a different split, and the agreement records whichever they chose. The worksheet works the by-capital split from your figures and publishes no rule about which to use.
Is there a free multi-member operating agreement worksheet?
Yes. The multi member LLC operating agreement template worksheet on this site is free and needs no account: four members' capital, the profit and your ordinary-decision threshold in, the shares, the distributions and the capital that must vote yes out, printed as it stands. LLC Lane Pro keeps the company, its members and every agreement against the record.

On the worked example, four members contributing $40,000, $30,000, $20,000 and $10,000 own 40%, 30%, 20% and 10%, $120,000 of profit distributes $48,000 to the first and $12,000 to the last, and an ordinary decision at 51% needs $51,000 of the $100,000 of capital.
